These Terms explain how LeMatech Digital provides website, platform, automation, and digital infrastructure services, how project work is structured, and what both parties can expect throughout an engagement.

Scope and acceptance

These Terms of Service apply to your use of the LeMatech Digital website and, unless otherwise agreed in writing, to discussions and service relationships initiated through it.

By accessing the website or engaging with us through an enquiry, call, proposal, or project conversation, you agree to use the website and our communications in a lawful and reasonable way.

If we enter into a separate written proposal, statement of work, service agreement, retainer agreement, or invoice-based commercial arrangement with you, that more specific written agreement will take precedence to the extent of any conflict.

Our services

LeMatech Digital provides premium digital services, including custom websites, booking and conversion systems, business automation, dashboards, internal tools, custom platforms, and related digital infrastructure.

Strategic and design work

Discovery, UX direction, information architecture, interface design, content structure, conversion planning, and related strategic recommendations.

Build and implementation

Custom front-end and back-end development, platform setup, integrations, deployment work, automation flows, and technical implementation.

Ongoing support

Maintenance, performance improvements, updates, retainers, operational support, and iterative enhancements where separately agreed.

Not every engagement includes every service. Deliverables, milestones, access requirements, and support scope depend on the specific package, proposal, or written agreement in place for the project.

Proposals, scope, and revisions

Project scope is defined by the written materials agreed for the engagement, such as a proposal, timeline, milestone outline, or scoped deliverables document.

Our goal is to be transparent about scope movement early so the project remains clear, efficient, and commercially fair for both sides.

  • Any features, pages, integrations, content production, or support tasks not expressly included in the approved scope may require a revised quote, updated timeline, or separate phase.
  • Reasonable revisions are typically handled within the agreed scope where they align with the original brief and stage of work.
  • Material changes, repeated rework, or changes requested after approval of a milestone may be treated as out-of-scope work.
  • We may pause implementation if requested changes substantially alter technical complexity, delivery sequencing, or commercial assumptions.

Client responsibilities and communication

Strong projects depend on timely communication, accurate input, and access to the systems or content needed to complete the work.

We aim to communicate clearly and professionally throughout the project. In return, we expect a reasonable standard of responsiveness and cooperation so the work can progress as planned.

  • You are responsible for providing accurate briefing information, approvals, content, brand assets, and legal or compliance information relevant to your business.
  • You are responsible for ensuring you have the right to use and share any materials, data, media, or access credentials you provide to us.
  • Where your review or input is needed, delays in feedback, access, or approvals may extend the delivery timeline.
  • We may rely on the accuracy of information you provide unless there is a clear reason not to.

Fees, invoices, and payment terms

Project fees, retainers, staged payments, and billing schedules are set out in the relevant proposal, invoice, or written agreement.

If a project is paused for an extended period due to client-side delay, we may reschedule the work, re-estimate remaining implementation, or invoice completed work already performed.

  • Custom project work may require an upfront deposit or first milestone payment before scheduling or starting production.
  • Further milestones may be invoiced at agreed project stages, on delivery of agreed outputs, or on a recurring schedule for retainers and support plans.
  • Unless otherwise agreed in writing, invoices are due within the timeframe stated on the invoice.
  • Late payment may delay delivery, release, deployment, transfer of files, continued support, or further work until the account is brought current.
  • All third-party costs, software subscriptions, hosting charges, domain fees, paid tools, API usage, or similar pass-through costs are separate unless expressly stated otherwise.

Intellectual property and ownership

Ownership is handled in a practical commercial way: you retain rights to your pre-existing materials, and project deliverables are typically transferred once the relevant fees have been paid in full, unless a different arrangement is agreed.

If open-source, commercial software, or third-party licensed components are included in a project, their use remains subject to the terms of those respective licenses.

  • You retain ownership of your trademarks, logos, content, brand assets, data, and other materials you provided before the engagement.
  • We retain ownership of our pre-existing know-how, workflows, internal tools, development methods, libraries, templates, and reusable components that are not created exclusively for your project.
  • Upon full payment, you receive the right to use the final deliverables created specifically for your project as agreed in the scope.
  • Unless expressly transferred in writing, background tools, internal systems, unpublished methods, and general reusable code remain our property or the property of the relevant licensors.

Third-party platforms, integrations, and external services

Many projects rely on third-party services such as hosting providers, CRMs, analytics tools, booking systems, payment processors, or AI and automation platforms.

Where we recommend or implement third-party services, we do so based on fit and availability at the time, but we do not warrant the long-term behavior of external platforms outside our control.

  • We are not responsible for outages, pricing changes, security incidents, account restrictions, feature removals, or policy changes imposed by third-party providers.
  • Integration work is based on the third-party systems, APIs, permissions, and documentation available at the time of implementation.
  • You remain responsible for maintaining your own third-party subscriptions, legal notices, and commercial relationships unless we have expressly agreed to manage them on your behalf.

Support, maintenance, and retainers

Ongoing support is not automatically included in every build. It applies only where a maintenance plan, retainer, or post-launch support arrangement has been agreed.

  • Support scope may include updates, monitoring, minor improvements, bug investigation, advisory work, or planned enhancement time, depending on the agreed package.
  • Response times, availability windows, and turnaround expectations may vary based on plan level, issue type, and current workload unless service levels are specifically agreed in writing.
  • Requests outside the support scope may be quoted separately or scheduled as project work.

Website use and acceptable conduct

You may not use the website in a way that is unlawful, abusive, fraudulent, technically harmful, or intended to interfere with the site, our systems, or other users.

  • Do not attempt to gain unauthorized access to restricted systems, forms, code, or infrastructure.
  • Do not misuse contact forms, send spam, scrape content in a harmful way, or use the site to distribute malicious code.
  • Do not misrepresent your identity, business, authority, or intent when communicating with us.

Disclaimers and limitation of liability

The website is provided on an informational basis, and our services are provided using reasonable professional care, but no digital service can be guaranteed to be uninterrupted, error-free, or suitable for every business context without limitation.

To the maximum extent permitted by applicable law, LeMatech Digital is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of revenue, loss of opportunity, data loss, business interruption, or losses arising from third-party systems or client-side misuse.

Where liability cannot lawfully be excluded, our aggregate liability in relation to a specific claim will be limited to the amount actually paid for the specific services giving rise to that claim during the relevant engagement period.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud, willful misconduct, or other mandatory statutory protections where they apply.

Suspension, termination, and project closure

We may suspend access, pause work, or terminate an engagement if payment is overdue, instructions become abusive or unlawful, required cooperation is not provided, or continuing the work would create legal, technical, or operational risk.

  • You may also end an engagement, subject to payment for work already completed, time already allocated, non-cancellable third-party costs, and any agreed termination conditions.
  • On termination, rights to unfinished work, unpublished materials, or unreleased deliverables may remain with us until outstanding invoices are settled in full.
  • We may archive inactive project materials after a reasonable period, and we are not obliged to store project files indefinitely unless ongoing retention is expressly agreed.

Governing law, updates, and contact

These Terms are governed by the laws of Croatia, excluding conflict-of-law rules, unless mandatory consumer or local law requires otherwise.

If a dispute arises, both sides agree to first try to resolve it in good faith through direct communication before escalating it further.

We may update these Terms from time to time to reflect changes in our services, business operations, legal requirements, or website functionality. Updated terms become effective when published on this page unless a later date is stated.
